Structure

Staplehurst Cricket & Tennis Club Limited is a Company Limited by Guarantee owned by its members who:

  1. meet the full subscription criteria of the Club*, or:
  2. are a current young player member aged 18 to 23, or:
  3. are a vice president or honorary life member of the Club

The Club’s constitution is set out in the company Memorandum & Articles of Association for Staplehurst Cricket & Tennis Club Limited which can be found by clicking on the button below.

The constitution is reinforced by day-to-day operating standards, the Club’s by-laws, which apply equally to members and non-members – including guests, visitors  and occasional users – and are incorporated in our Code of Conduct.

Staplehurst Cricket & Tennis Supporters’ Club Limited, as a company limited by shares, is wholly owned by Staplehurst Cricket & Tennis Club Limited and, as such, adopts the same constitution and by-laws although it has a separate company memorandum and articles of association.

Our non-full playing and non-playing members belong to the Supporters’ Club but can become members of Staplehurst Cricket & Tennis Club Limited, at any time, by fulfilling the full subscription requirements.

Members of the Staplehurst Cricket & Tennis Club Limited are not shareholders but effectively co-owners of the Club. This means they have both rights and obligations.

All Club members are welcome to attend the AGM (and any other Club meetings) but only members of Staplehurst Cricket & Tennis Club Limited, aged 18 or over, are legally entitled to speak, vote or stand for committee or officer positions.

The Board has legal responsibility but the Club’s day-to-day operations are run by an elected executive committee.  However, every member, as co-owner, is theoretically responsible for any liabilities of the Club but, in the unlikely event of a situation arising, as a company that liability would be limited to £1.

* Full subscription criteria of the Club:

          ii. individual or at least one family membership of the 100 Club;

          iii. contributing at least 18-20 hours per year to the Club’s operation.
